Matter AI Terms and Conditions

1. Overview

You have been presented these terms and conditions as you are electing to use Matter AI within the LEAP Legal Software application, platform and/or related services (LEAP Product).
Matter AI is an application offered by Corto Pty Ltd (ACN 670 818 292) (Corto, We, Us, Our).
You means the client named on the LEAP order form issued by LEAP Legal Software Pty Ltd or LEAP North America Pty Ltd and/or any of their subsidiaries and affiliates (LEAP) and, as applicable, your Users (You, Your).
Users means Your individual users of Matter AI (Users).
These Terms and Conditions together with any documents that are expressly incorporated by reference (collectively, the Terms) govern Your access to and use of Matter AI integrated with the LEAP Product. By accessing or using Matter AI, You agree to be bound by these Terms, any LEAP Product terms entered into by You, and our Privacy Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, the LEAP Product Terms or Privacy Policy you must not access or use Matter AI.
Please read these Terms carefully before you start to use Matter AI. By using Matter AI by clicking to accept or agree to the Terms you expressly acknowledge that you have read and understood all of the Terms and have taken time to consider the consequences and ramifications contained herein.

2. Changes to these Terms

Corto reserves the right to update or change these Terms from time to time by posting the updated Terms within the LEAP Product before you can enter Matter AI.
You may accept the Terms by clicking ‘I have read and agree to the terms and conditions’ (or similar) upon notification of the change, or by continuing to use Matter AI following the posting of any changes or revised Terms.

3. Purpose of Matter AI

Matter AI is designed to be used by lawyers and other legal professionals working in law firms and the legal system.
Matter AI is an artificial intelligence powered (AI-powered) platform that allows Us to streamline and accelerate Your access to AI-powered insights and shortcuts into Your own client files and also generate AI content (Matter AI).
In these Terms, “AI-powered platform” means a machine-based system that, for explicit or implicit objectives, infers, from the input it receives, how to generate outputs such as predictions, content, recommendations, or decisions that can influence physical or virtual environments.
Matter AI uses third-party artificial intelligence services, including OpenAI's large-scale language-generation model and others, from time to time.

4. Accessing Matter AI

Subject to these Terms, We grant You and Your Users a non-exclusive, non-transferrable and revocable right to use Matter AI during your Existing Product subscription.
Matter AI must not be used as a substitute for the advice of a qualified solicitor in the relevant jurisdiction.
Corto retains the right to charge fees for Matter AI. Where applicable, You will be informed and required to agree to such fees before You can access Matter AI.
We reserve the right to terminate or modify Matter AI, in Our sole discretion without notice. We will not be liable if for any reason Matter AI is unavailable at any time or for any period. From time to time, We may restrict access to Matter AI.
You are responsible for making all arrangements necessary for You to have access to Matter AI; and ensuring that all Users and other persons who access Matter AI through Your internet connection are aware of these Terms and comply with them.
To access Matter AI or some of the resources it offers, You may be asked to provide certain registration details or other information. It is a condition of Your use of Matter AI that all the information You provide in Matter AI is correct, current, and complete. You agree that all information You provide to register with and use Matter AI or otherwise, including, but not limited to, through the use of any interactive features in Matter AI, is also governed by Our Privacy Policy, and you agree to all actions We take with respect to Your information consistent with Our Privacy Policy.
If you create, or are provided with, a username (email), password, or any other piece of information as part of Our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that Your account is personal to You and agree not to provide any other person with access to Matter AI or portions of it through your LEAP Product subscription or by using Your username (email), password, or other security information.
You agree to notify Us immediately of any unauthorised access to or use of Matter AI, Your Username (email) or password or any other breach of security. You also agree to ensure that you exit/logoff from Matter AI once you have finished using Matter AI. You should use particular caution when accessing Matter AI from a public or shared computer so that others are not able to view or record Your password or other personal information.
We have the right to disable Your access to Matter AI, and/or any username (email), password, or other identifier, whether chosen by You or provided by Us, at any time in Our sole discretion for any or no reason, including if, in Our opinion, You have violated any provision of these Terms.

5. Content

Corto claims no intellectual property rights in any User input that You provide to Matter AI or any output generated by Matter AI. Corto also does not review such inputs or outputs, including text, logos, names or slogans, for accuracy, bias or intellectual property rights clearance.
You are solely responsible to ensure that You have all rights necessary (including trademark, copyright and other intellectual property rights) to provide Your inputs to Matter AI.
Corto makes no representation, warranty or guarantee as to the accuracy or reliability of Matter AI or whether such output may infringe on third-party intellectual property rights. You should review the output accordingly and Your use thereof is at Your sole risk.
Outputs may not be unique across Users and Matter AI may generate the same or similar outputs for other Users.
Corto may use technology provided by third-party service providers to provide Matter AI. You authorize Corto and such third-party service providers to store and use Your input for the purposes of providing you with Matter AI, to review inputs and outputs for abuse or misuse, and to develop and improve the services and products of Corto and such service providers, including as part of the design, training and development process for machine learning models.

6. Rules of Conduct

You acknowledge and agree that Your use of Matter AI shall be at Your own risk and that Matter AI is provided on an “as is”, and “as available” basis.
You represent, warrant, and agree that:
1. you will not use, nor permit any Users or any other person to use on Your behalf, Matter AI in bad faith or in violation of these Terms;
2. your use of Matter AI, including any content you submit, will comply with these Terms, any applicable LEAP Product terms, and/or policy that may apply to Your or the services you provide, and all applicable local, state, national and international laws, rules and regulations;
3. you will not collect or harvest (or permit anyone else to collect or harvest) any content generated by Matter AI, or any non-public or personally identifiable information about any other person or entity without their express prior written consent;
4. you will not use, nor authorize anyone to use on Your behalf, Matter AI in a manner (as determined by Corto in its absolute discretion, including, without limitation creating or generating content) that is: (1) illegal, or promotes or encourages illegal activity; (2) promotes, encourages, or engages in the exploitation of children, or any activity related to the proliferation of child sexual abuse material; (3) promotes, encourages or engages in terrorism, terrorism-financing, money-laundering, violence against people, animals, or property; (4) promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking; (5) promotes or facilitates prostitution and/or sex trafficking; (6) infringes on the intellectual property rights of any User, other person or entity; (7) violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity; (8) interferes with the operation of any other services provided by Corto or the LEAP Product; (9) contains or installs any viruses, worms, bugs, trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software or hardware; (10) contains false or deceptive language, or unsubstantiated or comparative claims, regarding Corto’s or the services You provide;
5. you will not perform any false, abusive or fraudulent activity;
6. you will not perform any action that imposes, or may impose, in Our discretion, an unreasonable or disproportionately large load on Our infrastructure;
7. you will not access Matter AI through any technology or means other than through the LEAP Product, or as We may designate;
8. you will not re-sell or provide Matter AI for a commercial purpose (without Corto's express prior written consent); and
9. you will not circumvent, disable or otherwise interfere with the security-related features of Matter AI (including without limitation those features that prevent or restrict use or copying of any Matter AI content or enforce limitations on the use of Matter AI).
You agree to back-up all of Your content generated from Matter AI so that you can access and use it when needed. Corto does not warrant that it backs-up any Matter AI content, and you agree to accept as a risk the loss of any and all of Your Matter AI content.
You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity if requested.
Without limiting any of the rights set forth elsewhere in these Terms, Corto expressly reserves the right to deny, cancel, terminate, suspend, or limit future access to Matter AI, whether due to breach of these Terms, any Corto policy, or due to a User engaging in or providing access to a party who is engaging in or has engaged in inappropriate or unlawful activity while utilizing Matter AI (as determined by Corto in its absolute discretion).
If Your account activity or use of Matter AI shows signs of fraud, abuse or suspicious activity, Corto may cancel any service associated with Your name, email address or account and close any associated accounts. If Corto, in its sole discretion, determines that any conducted activity is fraudulent, Corto reserves the right to take any necessary legal action, and you may be liable for monetary losses to Corto including legal costs and damages.

7. Suspension

We reserve the right to audit Your use of Matter AI and, if We are of the opinion in Our sole discretion that your use of Matter AI is non-compliant with these Terms We reserve the right to suspend or terminate Your access to Matter AI.
Matter AI incorporates third party services, if a third-party service becomes unavailable or unsuitable for use in Matter AI (in Our sole discretion), We may suspend the delivery of Matter AI while it investigates suitable substitute services. If a suitable substitute service cannot be found, Corto may terminate these Terms and Your access to the Services effective immediately upon written notice to you.

8. Links to third-party Website

Matter AI may contain links to third-party websites that are not owned or controlled by Corto. Corto assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites.
Corto does not censor or edit the content of any third-party websites. by Using Matter AI, you expressly release Corto from any and all liability arising from Your use of any third-party website. You acknowledge and agree that when you will review and be subject to the terms and conditions, privacy policies, and other governing documents of each other website that you may visit.

9. Disclaimer of representations and warranties

Corto, its officers, directors, employees, agents, and all third party service providers disclaim all warranties, statutory, express or implied, including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Corto, its officers, directors, employees, and agents make no representations or warranties about (i) the accuracy, completeness, or content of Matter AI, (ii) the accuracy, completeness, or content of any sites linked (through hyperlinks, banner advertising or otherwise) to Matter AI, (iii) Matter AI or any other services found through Matter AI, and/or (iv) any action or failure to act by Corto consistent with these Terms, and Corto assumes no liability or responsibility for the same.
You acknowledge and agree that auto-generated outputs including but not limited to text, recommendations, advice, logos, names, slogans, etc. have not been reviewed for legal accuracy, bias, explainability or intellectual property clearance and does not constitute legal advice.
Corto makes no representation, warranty or guarantee as to the legal accuracy, reliability or error-free performance of Matter AI including (without limitation) whether outputs are correct, or whether outputs may infringe, misappropriate or violate any third-party intellectual property rights.
You agree that you will check and confirm any outputs generated by Matter AI before you use any output in connection with any legal advice you provide.
You acknowledge and agree that no oral or written information or advice provided by Corto, its officers, directors, employees, or agents (including without limitation its helpdesk or sales or customer service representatives), and third party service providers will (i) constitute legal or financial advice or (ii) create a warranty of any kind with respect to Matter AI, and Users should not rely on any such information or advice.
The above disclaimer of representations and warranties shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of these Terms or Your use of Matter AI.
Corto makes no representation or warranty that the content available via Matter AI re appropriate in every country or jurisdiction, and access to Matter AI from countries or jurisdictions where its content is illegal is prohibited. If you choose to access Matter AI You are responsible for compliance with all local laws, rules and regulations.

10. Indemnity

You agree to protect, defend, indemnify and hold harmless Corto and its officers, directors, employees, agents, and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable legal fees imposed upon or incurred by Corto directly or indirectly arising from: (i) Your access to and use of Matter AI; (ii) Your violation of any provision of these Terms or the policies or agreements which are incorporated herein; and/or (iii) Your violation of any third-party right, including without limitation any intellectual property or other proprietary right.
The indemnification obligations under this section shall survive any termination or expiration of these Terms or Your use of Matter AI.

11. Limitation of Liability

In no event shall Corto, its officers, directors, employees, agents, or any third-party service providers, be liable to you, Your Users or any other person or entity for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any that may result from any outputs created Using Matter AI.
To the extent that the Competition and Consumer Law Act 2010 (Cth) implies any guarantees with respect to Matter AI, Corto’s liability (and that of its third party service providers) in respect of those implied guarantees is limited to (i) in the case of services, supplying the services again; and (ii) in the case of goods, replacing the goods, supplying equivalent goods or repairing the goods.
You acknowledge and agree that in no event shall Corto’s total aggregate liability exceed any payments you made to Corto for Matter AI in the 12 months prior.
You acknowledge and agree that the liability of Corto under these Terms is reduced to the extent You contributed to the claims, demands, costs, expenses, losses, liability or damages suffered or incurred.
The foregoing limitations of liability shall apply to the fullest extent permitted by law and shall survive any termination or expiration of these Terms or Your use of Matter AI, or any other LEAP Product services.
